Terms of Service

1. Acceptance of Terms

By accessing or using CodeCritic ("the Service"), including the website at code-critic.com, the CodeCritic API, and the CodeCritic GitHub Action, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

By creating an account or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

CodeCritic provides AI-powered code review services. The Service analyzes source code submitted by users and generates automated review feedback, including quality scores, issue detection, and improvement suggestions. The Service is delivered via:

  • A web application at code-critic.com
  • A REST API accessible with an API key
  • A GitHub Action (CodeCritic-Reviews/review-action) that integrates with GitHub pull requests

3. Account and API Key

To use the Service, you must create an account and may obtain an API key. You are responsible for maintaining the confidentiality of your account credentials and API key. You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit code that contains malware, viruses, or other harmful components
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Abuse API rate limits or attempt to overload the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or sublicense access to the Service without authorization
  • Use the Service to generate content that violates third-party intellectual property rights

5. AI-Generated Content

The Service uses artificial intelligence models to analyze code and generate review feedback. You acknowledge and agree that:

  • Not professional advice. AI-generated reviews are automated suggestions and do not constitute professional software engineering advice, security audits, or legal compliance assessments.
  • May contain errors. AI output may be inaccurate, incomplete, or inappropriate. Results may include false positives (flagging correct code) or false negatives (missing actual issues).
  • Your responsibility to verify. You are solely responsible for evaluating, testing, and verifying all AI-generated suggestions before applying them to your codebase.
  • No liability for AI recommendations. CodeCritic is not responsible for any consequences arising from applying AI-generated recommendations, including but not limited to code defects, security vulnerabilities, data loss, or system downtime.
  • Third-party AI models. The Service may use third-party AI model providers to process your code. While we take reasonable precautions, we cannot guarantee how third-party providers handle data internally.

6. Intellectual Property

You retain all rights to the code you submit to the Service. CodeCritic does not claim ownership of your code. By using the Service, you grant CodeCritic a limited, temporary license to process your code solely for the purpose of generating review feedback. Your code is not stored after analysis is complete.

7. Billing and Subscriptions

Certain features of the Service require a paid subscription. Subscriptions are billed in advance on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds are provided at CodeCritic's discretion. Free tier usage is subject to rate limits as described on the pricing page.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CODECRITIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. CODECRITIC DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT OR REVIEW RESULTS.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODECRITIC, ITS OPERATORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; CODE DEFECTS OR SECURITY VULNERABILITIES INTRODUCED BY FOLLOWING AI-GENERATED RECOMMENDATIONS; SYSTEM DOWNTIME OR DATA LOSS RESULTING FROM APPLIED SUGGESTIONS; OR ANY OTHER INTANGIBLE LOSSES.

CODECRITIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CODECRITIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. INDEMNIFICATION

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS CODECRITIC AND ITS OPERATORS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATED TO: (A) YOUR USE OF THE SERVICE IN VIOLATION OF THESE TERMS; (B) YOUR CODE OR CONTENT THAT INFRINGES ANY THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS; (C) ANY THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR APPLICATION OF AI-GENERATED RECOMMENDATIONS; OR (D) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION.

11. Termination

CodeCritic may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including Sections 5, 6, 8, 9, 10, and 12.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body.

13. Changes to Terms

CodeCritic reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.
